These Terms of Service (“Terms”) govern your access to and use of the Doorway platform and related services (collectively, the “Service”) operated by Freedom Eagle Realty (“Freedom Eagle Realty,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and, where the Service is used for real-estate referral activity, a licensed real estate professional in good standing in the jurisdiction(s) where you operate. By using the Service you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

2. The Service

Doorway is a referral-management platform that lets real estate agents register, be reviewed and approved by an administrator, and receive and manage client referrals, update referral status, and communicate regarding those referrals. We do not guarantee that you will receive any particular number of referrals, or any referrals at all, and we are not a party to any transaction you conduct with a referred client.

3. Accounts and Registration

  • You may register with an email address and password, or by signing in with a supported third-party provider (e.g., Google, Apple, or Microsoft).
  • You agree to provide accurate, current, and complete information and to keep it updated.
  • You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
  • New agent accounts are subject to administrator review and approval before they may receive or act on referrals. We may approve, decline, suspend, or revoke access at our discretion, including where licensing or other information cannot be verified.

4. Agent Verification and Licensing

You agree to provide a valid real estate license number and supporting documentation, and you authorize us to review and verify that information. You are solely responsible for maintaining your license in good standing and for complying with all laws, regulations, and professional standards applicable to your activities, including the Real Estate Settlement Procedures Act (RESPA) and applicable state real-estate and referral-fee rules. 5. Communications Consent

By registering, you provide the consent described on the sign-up form to receive account-related and referral-related communications from us by email and, where you opt in, by text message (SMS). Message frequency varies. Message and data rates may apply. You may opt out of SMS at any time by replying STOP, or reply HELP for help, and you may manage your email and SMS preferences from your account. 6. Acceptable Use

You agree not to:

  • provide false, misleading, or fraudulent information, including about your license;
  • access or attempt to access accounts, referrals, or data that are not assigned to you;
  • use the Service to send unlawful, harassing, deceptive, or unsolicited communications;
  • interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems;
  • misuse client information, or use it for any purpose other than servicing the referral through the Service; or
  • violate any applicable law, regulation, or third-party right.

7. Client Information

Referrals may include personal information about prospective clients. You agree to use that information only to service the referral, to handle it in accordance with applicable privacy and consumer-protection laws, and not to retain or use it for unrelated marketing or other purposes.

8. Intellectual Property

The Service, including its software, design, and content (excluding information you submit), is owned by Freedom Eagle Realty or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works except as permitted by law.

9. Third-Party Services

The Service relies on third-party providers (for example, for authentication, messaging, and hosting). Your use of third-party sign-in or other integrated services may also be subject to those providers’ terms. We are not responsible for third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREEDOM EAGLE REALTY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. 12. Indemnification

You agree to indemnify and hold harmless Freedom Eagle Realty and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

14. Governing Law
